Guidelines for CSE’s

    1. Definitions and Interpretation

1.1 In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:

“CSE”: this is a charitable organisation that could be a Charity or Social Enterprise. All charities will have their Charity Registration number checked for validity on entry to The Social Impact Register, Social Enterprise may have either just Company Registration Number as an NGO or could also have a Charity Registration Number. In either case these will be checked on entry to The Social Impact Register. It will be the Sponsors own responsibility to ensure these are still active prior to Sponsorship.

“Enabler”: This is an organisation that is either the recipient of goods and/or services that through the Public Services (Social Value) Act 2012 and they wish to use Pluggin to support, report and gain media coverage of the Social Value;

"Membership fee" : means the fee paid by Users to access and use The Social Impact Register, this is for 1 year and will require annual renewal;

“Membership”: means when a Sponsor has signed up and paid Membership fee;

“SIR”: The Social Impact Register from this point will be referred to as SIR;

"Sponsor" : means any third party that accesses the Website and is not employed by Pluggin has paid the Membership fee then access to SIR will be granted, This may be to a certain area or region of the SIR as denoted by the Enabler, if there is no Enabler then there will be open access to the SIR (references to "you", "your" and "yours" should all be read as referring to you as a Sponsor);

“Sponsorship”: mean the monies to be paid under Pluggin agreement (on behalf of the Enabler if present), Please see Section 2. Conditions, Exceptions and Restrictions.

"Pluggin" : Pluggin is the international trading name for Social Emotional Developments Limited. (References to "we", "us" and "our" should all be read as referring to Pluggin);

“Media requirements and Reporting”: is the gathering of data, interviews both as verbal and video and photographing evidence all showing the works that the project sponsored as completed at various times by Pluggin and their agents.

“Brand Sharing”: is the sharing of Organisation Logo, Name and data gathered by Pluggin and its agents for the use by Enabler, Sponsor and CSE;

  1. Intellectual Property and Ownership

The Intellectual Property of systems of work, design, methodology, web page and supporting systems will at all times be in full ownership of Pluggin Limited.

  1. CSE’s presented and Pluggin Liability

3.1 We will use reasonable endeavours to ensure that a CSE is a legitimate, existing and valid organisation.

3.2 We will check the relative CSE Charity and/or Company Registration numbers upon their acceptance.

3.2 Charity and/or Company Registration numbers will be clearly shown within the SIR and you may check then on:

3.3 You acknowledge that any CSE sponsored may, in the future change its status, capability to function organisation in any form. We are not responsible for advising you of any such changes or amendments.

3.4 No liability shall attach to Pluggin, our directors or officers, our employees, or retained consultants for loss or damage of any nature suffered because of the CSE not following its agreed project, spending monies in appropriate to their agreement or changes as Section 6.3.

  1. General

Pluggin will have no responsibility or liability for any part of the agreement between the Sponsor and the CSE over and above the collection of Media and Reporting as stated in Section 2. Pluggin is not party to any dealings between Sponsor and CSE.

  1. Changes to the Website, the Product and these Terms and Conditions

We reserve the right to change this Website, the Product and these Terms and Conditions at any time. You will be bound by any changes to the Terms and Conditions from the first time you use the Website following the changes.

  1. Availability of the Website the SIR and CSE shown on the SIR.

6.1 We accept no liability for any disruption or non-availability of this Website resulting from any causes including, but not limited to, internet service provider equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

6.2 This Website, SIR and the CSE data are provided "as is" and on an "as available" basis. We give no warranty that the Website, SIR or the Product will be free of defects and/or faults.

  1. Waiver

Failure by Pluggin to enforce the performance of any provision in these Terms and Conditions shall not constitute a waiver of the right to subsequently enforce that provision or any other provision. Such failure shall not be deemed to be a waiver of any preceding or subsequent breach and shall not constitute a continuing waiver.

  1. Severance

If one or more of the provisions of these Terms and Conditions are found to be unlawful, invalid or otherwise unenforceable, that / those provisions shall be deemed severed from the remainder of these Terms and Conditions. The remainder of these Terms and Conditions shall be valid and enforceable.

  1. Data Protection and Privacy

9.1 We collect, hold and process all personal data in accordance with your rights and our obligations under the Data Protection Act 1998 (and, from 25 May 2018, the EU General Data Protection Regulation ("GDPR")), and we take appropriate steps to ensure that your information is protected consistent with the principles set out in the Act (after 25 May, the GDPR), any other privacy laws, these Terms and Conditions, and our Privacy Policy, whether that information is held by us or shared by us with third parties. That said please note that we are only gathering data that you have stated that you wish to be shared between the 4 parties on Pluggin, CSE’s, Sponsors and Enablers.

9.2 For full details of our collection, use, and holding of personal data, information about your legal rights as a data subject and how to exercise them, please refer to our Privacy Policy.

  1. Law and Jurisdiction

These Terms and Conditions are governed by the laws of England and Wales. Any dispute relating to these Terms and Conditions shall fall within that jurisdiction.

This Disclaimer is part of the Terms and Conditions.

Pluggin Ltd is a facilitator that allows control of payments made in conjunction to the Public Services (Social Value) Act 2012 with all its revisions so that Social good may be monitored by the Enabler and that the reporting and media coverage may be shared by all parties , subject to this Disclaimer and the other Terms and Conditions above.

Pluggin can only show data that is correct at point of addition to the website, all parties should take due diligence to ensure that the CSE is still live and practising in good order prior to sponsorship

Pluggin will take reasonable measures to check the validity of CSE status is accurate and up to date.

Pluggin may amend CSE details or add, replace, or remove them from the SIR without notice.

  1. Conditions, Exceptions and Restrictions for CSE

11.1 CSE will only spend Sponsorship Monies on Projects that have been declared on application.

11.2 CSE will participate fully with all media requirements and reporting for Pluggin and its agents

11.3 Failure to comply with Media Requirements and Reporting gathering will mean the Sponsor and Enabler will be informed and legal action to retrieve the Sponsorship monies may be taken by the Sponsor

11.4 If deals are struck outside the  Pluggin Framework then no data or reporting can be taken, both the Sponsor and the CSE will be in violation of these terms and conditions and both will be reported to the Enabler. The Sponsor has direct responsibilities to the Enabler and Terms and Conditions with Pluggin.

11.5 The CSE will confirm Sponsorship payment to Pluggin on the day of Payment and confirm the value of payment. The value is in direct correlation to the amount of reporting and data and will be reported to the Enabler

11.6 Sponsorship will be declared in full to Pluggin from both CSE and Sponsor, failure to do will result in no reporting or media and if an Enabler is in use then reported to them.

11.7 Both CSE and Sponsor will participate fully with all media requirements and reporting for Pluggin and its agents.

11.8 Membership will be renewed on an annual basis with Pluggin, if there is an applicable Enabler and renewal is not completed then the Enabler will be informed.

11.9 Sponsorship maybe renewed or a different CSE may be chosen upon completion of the annual sponsorship.

11.10 Membership is only through Pluggin any future or extra payments made to a CSE outside of these terms cannot be reported on or media gathered, if this is found to have happened then this will be noted and the Enabler informed.

11.12 All Media and reporting can and will only be continued and completed whilst the CSE is operation. Should the CSE stop operation then the BAS will complete at that point and there will be no refund as the Sponsorship is between the Sponsor and CSE and only enabled by the Enabler and powered by Pluggin. The BAS payment cannot be refunded in total or part as works have been completed by Pluggin in good faith.

11.13 All Media and reporting can and will only be continued and completed whilst the CSE is operation. Should the CSE stop operation then the BAS will complete at that point and there will be no refund as the Sponsorship is between the Sponsor and CSE and only enabled by the Enabler and powered by Pluggin. The BAS payment cannot be refunded in total or part as works have been completed by Pluggin in good faith.

11.14 Brand Sharing -  From data gathered in the previous note All Media and reporting will be made available to the Enabler, Sponsor and the CSE for their own publication and this will also be published through Pluggin. This will in all cases show the Plugging logo and state “Powered by Pluggin”
